Project Service Agreement

By checking the box at checkout and submitting payment, you (“Client”) acknowledge and agree to the following binding Terms of Engagement (“Agreement”) between you and ABA Impact Team LLC, a Florida limited liability company (“Service Provider”). This Agreement governs all project-based cybersecurity and IT consulting engagements initiated through our platform and supersedes any prior or conflicting agreements unless otherwise stated in writing.

1. Service Coordination & Delivery

Client understands that ABA Impact Team LLC may coordinate with vetted third-party service providers, including independent cybersecurity and IT consultants, to fulfill purchased services. All coordination, oversight, and communication will be managed by ABA Impact Team LLC.

Client agrees not to directly manage or instruct any subcontracted provider. All communications and service requests must be routed through the designated project contact at ABA Impact Team LLC or via email at [email protected].

2. No Support, Implementation, or Warranty

The services delivered under this Agreement are limited in scope to evaluation, advisory, and reporting functions. Unless explicitly included in the original offer or scope of work, this Agreement does not include:

  • Ongoing technical support or helpdesk services
  • Implementation or configuration of systems
  • Incident response, breach mitigation, or remediation
  • Hardware or software installation
  • Remediation of existing vulnerabilities or system errors
  • Any actions the Client chooses to take based on recommendations or findings are undertaken at the Client’s sole risk and discretion.

All services are provided “AS IS,” without warranty of any kind, including but not limited to warranties of performance, results, merchantability, or fitness for a particular purpose.

3. Client Responsibilities

Client agrees to:

Provide all requested access, documentation, and personnel as needed for timely service delivery

  • Respond promptly to all communications
  • Maintain responsibility for third-party systems, vendors, and service authorizations
  • Notify ABA Impact Team LLC immediately if a suspected or active cybersecurity incident arises

Failure to provide adequate access, communication, or cooperation may result in delays or inability to deliver the services.

4. Security Incident Protocol

If a cybersecurity event, data breach, or suspected compromise is identified during service delivery, ABA Impact Team LLC and its partners will immediately cease all work. The Client is responsible for engaging a qualified breach response provider.

ABA Impact Team LLC is not liable for containment, remediation, or legal reporting related to any incident, and no such services are included unless explicitly agreed to under a separate engagement.

 

5. Confidentiality

Each party agrees to treat all information exchanged in connection with this engagement as confidential, including but not limited to:

  • Technical configurations, network data, and system access
  • Security findings, reports, or vulnerabilities
  • Business operations, financial information, and proprietary documents
  • Personally Identifiable Information (PII), Protected Health Information (PHI), or any sensitive data

Such information will not be disclosed to any third party without the prior written consent of the other party, except as required by law or to fulfill the services under this Agreement.

ABA Impact Team LLC and its subcontractors will take commercially reasonable steps to protect Client data and will not retain or use it beyond the scope of this project.

6. Indemnification & Waiver of Liability

Client agrees to defend, indemnify, and hold harmless ABA Impact Team LLC and its officers, directors, employees, agents, and service partners from any claims, damages, or expenses—including reasonable attorney fees—arising from:

  • The Client’s use or implementation of any deliverable or recommendation
  • Breach of this Agreement
  • Failure to maintain adequate security controls or monitoring
  • Any third-party claim resulting from a security incident before, during, or after this engagement

Client further waives all rights to pursue damages against ABA Impact Team LLC or its partners in connection with any data breach, technical disruption, or loss of data arising during or after this engagement.

 

7. Limitation of Liability

To the fullest extent permitted by law, ABA Impact Team LLC’s total aggregate liability under this Agreement shall not exceed the total amount paid by the Client for the applicable services.

In no event shall ABA Impact Team LLC be liable for any indirect, special, incidental, or consequential damages, including but not limited to: loss of revenue, data, reputation, or regulatory action, whether in contract, tort, or otherwise—even if advised of the possibility of such damages.

This limitation survives the expiration or termination of the Agreement.


8. Governing Law & Dispute Resolution

This Agreement is governed by the laws of the State of Florida. Any dispute arising from or relating to this Agreement shall be resolved through binding arbitration conducted in Florida under the rules of the American Arbitration Association.

Each party waives the right to litigate any such dispute in court and waives the right to participate in any class action or representative proceeding.

Agreement by Continued Use

By continuing to use ABA Impact Team, LLC Services, you acknowledge that you have read, understood, and agreed to these terms.
