NON-DISCLOSURE AGREEMENT (NDA)

- Parties
This Non-Disclosure Agreement (“Agreement”) is entered into by and between ABA Impact Team, LLC, a Florida limited liability company (“Disclosing Party”), and the individual accepting this Agreement via online registration or written signature (“Receiving Party”).
- Purpose
The Receiving Party may gain access to proprietary information through participation in ABA Impact’s programs, roles, or collaborative initiatives. This Agreement is intended to protect the confidentiality of that information and prevent its misuse.
- Definition of Confidential Information
Confidential Information includes, but is not limited to:
- Internal systems, frameworks, templates, and proprietary documents
- Information shared inside courses, coaching products, live sessions, or private communities
- Business strategies, workflows, marketing campaigns, SOPs, and unpublished content
- Access credentials, unpublished URLs, or instructional recordings
- AI prompts, language models, and any materials generated by internal GPT systems
- Business development plans, strategic roadmaps, and operational infrastructure
Confidential Information may be written, verbal, visual, or digital. It is protected regardless of format.
- Obligations of the Receiving Party
The Receiving Party agrees to:
- Maintain the confidentiality of all materials identified above
- Not copy, share, reproduce, or distribute any Confidential Information
- Not disclose Confidential Information to any third party without written consent
- Take reasonable steps to protect all files, links, or access granted
- Notify ABA Impact immediately if any unauthorized use or disclosure occurs
This applies to both personal use and use on behalf of another entity.
- Exclusions
This Agreement does not apply to information that:
- Is or becomes publicly available through no fault of the Receiving Party
- Is disclosed with prior written permission from ABA Impact
- Is independently developed without use of ABA Impact materials
- Term & Survival
This Agreement begins upon acceptance and remains in effect indefinitely, including after the completion of any role, project, or program.
All confidentiality obligations survive termination of this Agreement or any related participation.
- Governing Law
This Agreement shall be governed by and construed under the laws of the State of Florida. Venue for any dispute shall be in Martin County (State) or St. Lucie County (Federal).
- Acknowledgment & Acceptance
By checking the box at checkout, or by providing a digital or physical signature where applicable, the Receiving Party agrees to be legally bound by the terms of this Agreement.
