COURSE INSTRUCTOR AGREEMENT 

 

This Course Instructor Agreement ("Agreement") is made and entered into by and between ABA Impact Team, LLC, a Florida limited liability company ("ABA Impact"), and the individual who accepts this Agreement via online registration ("Course Instructor").

By checking the required box at checkout and submitting registration, the Course Instructor affirms that they have read, understood, and agree to the terms of this Agreement.

  1. Purpose

This Agreement governs the Course Instructor’s participation in the ABA Impact Course Instructor Program and the contribution of educational content to the ABA Impact platform, including the eBCBA™ Odyssey.

  1. Instructor Status

The Course Instructor is an independent contractor, not an employee, agent, partner, or representative of ABA Impact. Nothing in this Agreement shall be construed to create an employment relationship or joint venture.

The Course Instructor is solely responsible for:

  • All federal, state, and local tax obligations arising from any payments received
  • Their own insurance, licensing, legal compliance, and liability
  1. Responsibilities of the Course Instructor

By entering this Agreement, the Course Instructor agrees to:

  • Develop and submit one complete course aligned with the ABA Impact Instructor Manual and Blueprint series
  • Upload all files using the assigned SharePoint folder structure and naming conventions
  • Attend at least one Odyssey community call per month
  • Respond to reasonable course-related member questions via their ABAImpact.com email
  • Maintain professionalism, accuracy, and alignment with ABA Impact brand and operational standards
  1. Intellectual Property & Licensing

4.1 Ownership

The Course Instructor retains full intellectual property rights over all original content they create.

4.2 License to ABA Impact

The Course Instructor grants ABA Impact a perpetual, worldwide, royalty-free, irrevocable, non-exclusive license to:

  • Use, host, distribute, display, and market the course and its contents on the ABA Impact platform
  • Reformat, rebrand, or excerpt materials as needed for presentation and marketing (without altering substance or intent)

4.3 Promotional Use

ABA Impact is permitted to use the Course Instructor’s name, likeness, credentials, voice, and content excerpts (including video clips, quotes, and visuals) for promotional purposes, including but not limited to:

  • Email campaigns
  • Social media posts
  • Paid or organic advertising
  • Landing pages
  • Webinars and livestreams

4.4 Non-Revocation

Once content is approved and published, the Course Instructor may not demand its removal from the platform or any promotional materials. The license granted under this section is irrevocable and shall survive the termination of this Agreement.

  1. Compensation & Payment Processing

ABA Impact does not act as a financial intermediary between Course Instructors and members. Course Instructors are strongly encouraged to manage their own:

  • Scheduling and booking systems
  • Payment collection methods
  • Service delivery

If the Course Instructor requests ABA Impact to process payment for services (e.g., coaching sessions or events), the following conditions apply:

  • ABA Impact will only process payments when legally and ethically appropriate
  • A 20% administrative and processing fee will be applied to cover transaction costs and operational support
  • Payments will be issued by mailed check or direct deposit, at ABA Impact’s discretion
  • An up-to-date IRS Form W-9 must be on file prior to disbursement

The Course Instructor is responsible for all tax reporting. ABA Impact will issue Form 1099-NEC if required by law.

  1. Platform Use & Conduct

The Course Instructor agrees not to:

  • Solicit ABA Impact members for off-platform services without prior approval
  • Promote personal services or products in the Kajabi platform without coordination
  • Use or share member information for off-platform marketing or services

Violations of this section may result in immediate removal from the Course Instructor Program.

  1. Governing Law

This Agreement is governed by the laws of the State of Florida. Any disputes will be resolved exclusively in the state or federal courts of Martin (County/State) or St. Lucie (Federal) County, Florida.

  1. Entire Agreement

This Agreement represents the full understanding between ABA Impact and the Course Instructor and supersedes all prior communications. Modifications must be in writing and signed by both parties.

  1. Online Acceptance

By checking the box at checkout and submitting your registration, you confirm that you have read, understood, and agree to be legally bound by this Course Instructor Agreement.
